Group Chief Legal Officer

Job Overview
The Group Chief Legal Officer (GCLO) oversees all legal aspects of the operations of the Pinnacle Holding Company Limited (PHCL) and its subsidiaries. This role involves developing and implementing legal strategy, managing legal risks, ensuring compliance with laws and regulations, and providing legal counsel to the executive team and board of directors. GCLO also plays a crucial role in corporate governance, major transactions, and litigation management. The GCLO acts as the top legal advisor, strategist, and protector of the organization’s legal interests. GCLO will manage the centralized “legal desk” of PHCL, which provides legal assistance and guidance to the Company and all its subsidiaries.
Duties
Legal Strategy and Governance
- Overall legal strategy: The GCLO will develop the Company’s overall legal strategy, aligning it with business objectives and ensuring compliance across all subsidiaries.
- Corporate governance: The GCLO will lead and advise on corporate governance issues, whiles ensuring ethical business practices.
- Policy development: The GCLO will create and enforce policies to ensure legal compliance across the organization.
Risk Management and Compliance
- Legal risks: The GCLO is responsible for identifying potential legal risks and developing strategies to mitigate them.
- Legal compliance: The GCLO shall oversee compliance programs and ensure the company adheres to all relevant laws, regulatory requirements, and industrial standards across all subsidiaries.
- Litigations and transactions: The GCLO shall directly handle all legal matters, and in some exceptional situations manage external counsel for major litigation or transactions across all the subsidiaries.
Leadership and Management
- Legal desk: The GCLO shall oversees the legal department, managing its resources and ensuring it is aligned with business goals.
- Legal advice: The GCLO shall offer expert legal advice to the executive team and Board of Directors across all the subsidiaries, on a wide range of legal issues and innovative solutions that drive the organization forward.
- Building relationships: The GCLO shall build and maintain relationships with external legal counsel, regulators, and other stakeholders.
Other Important Responsibilities
- Protecting intellectual property: The GCLO shall play a key role in protecting the company’s intellectual property assets.
- Contract Management: The GCLO shall draft, review, and negotiate contracts, agreements and other legal documents on behalf of the Company and its subsidiaries.
- Staying updated on legal changes: The GCLO must stay informed about changes in legislation and regulations that may impact on the company and its subsidiaries.
- Legal Research: The GCLO shall conducting legal research to support Management decision making processes.
Technical Skills and Attributes:
- Advanced / Specialized Legal Knowledge: Skills and knowledge in the following areas will be beneficial for this role: Corporate Law, Labour Law, Environmental Law, Intellectual property Law, Tax Law, Contract Law, Banking Law, Securities Law, Land and Property Law.
- Communication and Negotiation: Effective verbal and written communication, and strong negotiation skills are crucial for representing clients and negotiating deals.
- Business Acumen: A good understanding of business principles across the following industries: Manufacturing, Real Estate, Construction, and Oil and gas.
- High ethical standards, discretion, and commitment to professional integrity.
Qualifications
- The GCLO shall hold an LLB from a recognized University
- Have been called to the Ghana Bar and shall be a member in good standing.
- The GCLO must have a minimum of 10 years’ post call/working experience.
- Experience in the real estate sector is highly desirable and considered a strong asset for this role.
